Please read these Terms and Conditions carefully, as they form a contract between us and you. Your acceptance is deemed to have been given the moment you sign our Hosting Agreement, Website Design Agreement, Website Development Agreement, SEO Agreement, or Support Agreement.

We have tried to make these Terms and Conditions short, understandable, and as simple as possible. If you have any questions, please contact us.

Terminology

• The project encompasses the services to be provided, which typically consist of several
• related parts, such as consulting, graphic design, website design, website development, SEO, and/or hosting.

What do both parties agree to?

The customer agrees to this

• Provide the company with all information necessary for project completion, including text, images, and other information, within a reasonable timeframe.
• Provide the company with text and images in the format specified below (see photos and images).
• Review the company's work, provide feedback, and approve work promptly.
• Strive to meet all agreed deadlines.
• Adhere to the payment schedule stated on our pricing page or agreed upon separately for custom work.
• Inform both parties in advance of any confidential information exchanged between them by email, in writing, or verbally. This information must be clearly marked "Confidential" in the subject line of the email or on all written documents.
• Terminate a contract at least one month in advance in writing or by email.

The company undertakes:

• We provide our services professionally and on time.
• We strive to meet all deadlines agreed upon between you and us.
• We will make a reasonable number of revisions to the design, layout, colors, etc., until you are satisfied with the design concept or both parties believe an agreement is likely. However, a maximum of two major revisions are permitted. Additional revisions or design work outside the scope of the project will be charged separately.
• We strive to complete requested website revisions or updates within 48 hours where possible. The monthly revision entitlement depends on your support package (see our pricing page).
• We keep our skills and knowledge up to date through regular training and research.
• We will contact you before the end of the first 12 months to discuss the various options for ongoing maintenance and support of your website and/or hosting.

Website-Design

• All websites are designed to be compatible with all major browsers and platforms, including other devices such as mobile phones and touchpads. However, due to updates/upgrades by the respective providers, the company cannot guarantee full and/or long-term compatibility with all major browsers, platforms, and mobile devices.
• The company cannot guarantee compatibility with outdated or obsolete browser software.

Database, application and e-commerce development

• CRKB IT SOLUTIONS assumes no liability for damages resulting from the use of software created for the customer. Although every care has been taken to ensure the error-free and accurate nature of the products, the ultimate responsibility lies with the customer to ensure that the software functions properly before use.
• If applications or websites are developed on servers not provided by CRKB IT SOLUTIONS, the customer is expected to provide or obtain all information, additional software, support, or cooperation regarding the server necessary for the correct development of the application. When developing large-scale applications, it is the customer's responsibility to provide a suitable test environment that is identical to the final production environment.
• The client is expected to fully test all applications or programming related to a website developed by CRKB IT SOLUTIONS before it is released for general use. If any bugs, errors, or other problems are discovered after the site's release, CRKB IT SOLUTIONS will endeavor (but is not obligated) to correct these problems to meet the functional standards described in the brief.

SEO

• CRKB IT SOLUTIONS assumes no liability for damages resulting from the use of software created for the customer. Although every care has been taken to ensure the accuracy and freedom from errors in the products, the ultimate responsibility lies with the customer to ensure that the software functions properly before use.
• If applications or websites are developed on servers not provided by CRKB IT SOLUTIONS, the customer is expected to provide or obtain all information, additional software, support, or cooperation regarding the server necessary for the correct development of the application. When developing large-scale applications, it is the customer's responsibility to provide a suitable test environment that is identical to the final production environment.
• The customer is obligated to comprehensively test all applications and programs associated with a website developed by CRKB IT SOLUTIONS prior to general deployment. Should any errors or other problems be discovered after the website's deployment, CRKB IT SOLUTIONS will endeavor (but is not obligated) to correct them in order to meet the functional standards described in the order.

• CRKB IT SOLUTIONS will provide recommendations at the end of the gap analysis. All information must be considered for indexing.
• If the development effort for this service exceeds 40 hours of work, CRKB IT SOLUTIONS will invoice the client based on the time spent.
• CRKB IT SOLUTIONS requires FTP access to the client's current website.
• Search engine optimization refers exclusively to organic growth and takes a minimum of 4–6 weeks.
• Search engine marketing, upon client request, delivers faster results. This is a completely independent activity from SEO and is unrelated to its associated sub-activities.
• CRKB IT SOLUTIONS does not guarantee immediate results or top rankings in less than 6 months.
• Only if all CRKB IT SOLUTIONS recommendations are implemented will this have a positive impact on SEO activities. Failure to follow even a few of these recommendations will result in incorrect indexing. CRKB IT SOLUTIONS assumes no liability in this case.
• Any service fees will apply additionally.
• A 60-day notice period is required to terminate the contract.
• To meet the schedule, it is important that the company receives all requested information (content) within 3–4 business days.
• It is important that the company has access to web statistics software for your website, your Google campaign, etc.
• We cannot guarantee a specific number of hits per day, but we are confident that your online marketing activities will increase significantly. However, you must be patient, as results will not be visible the day after the website is completed.
• Payment on time according to the schedule is required.
• If the project is in progress and then canceled, any amounts paid up to that point are non-refundable.
• The above costs do not include travel, accommodation, and meals that may be incurred during the system study, design, and implementation phases. These costs, if any, will be billed to the client based on actual expenditures.
• The costs do not include hardware costs or the costs for the backend databases/software that must be purchased to support development.
• This project cost includes CRKB IT SOLUTIONS' services for up to six months from the start date. After this period, you can continue to optimize your online marketing program using my services at a price to be determined at that time, or you can cancel the contract. The website will deliver initial results within five to six months of completion, but the full results will not be visible for another six to nine months.

Payments and contract terms

• All payment plans can be found on our pricing page or negotiated separately for custom projects.
• The company reserves the right to charge the client up to 85% of the total web development costs if the client terminates the website contract after the design concepts have been agreed upon but before the website is published. The amount of the fee depends on the project stage at the time of termination.
• Once the website is live, any early termination of your standing order within the first 12 months will be considered a breach of contract. In this case, you will be liable for the immediate payment of the remaining balance of the contract plus an administration fee (the administration fee covers the time required to confirm the termination, invoicing, and posting).
• Changes to standing orders due to new or amended contracts are the sole responsibility of the customer. Overpayments to the company due to a failure to update a standing order will not be refunded to the customer. However, any underpayments or missed payments will be charged retroactively from the date the underpayment or missed payment is discovered. The customer is responsible for updating their account within a reasonable time.
• The contract term is typically 12 months, unless otherwise agreed in advance between the customer and the company. The company requires a minimum of 30 days' notice for support or hosting contracts.

• All images and photos you provide should be digital, typically no smaller than 1024 x 768 pixels, and at a suitable resolution that allows for resizing and on-screen display. Traditional paper photos that require scanning are acceptable. However, additional costs may be incurred due to the time required to scan and retouch the images. This depends entirely on the project and the number of images.
• Any images that the company must source from external photographers or stock photography providers will incur additional charges.
• The Customer guarantees that all text, graphics, photographs, designs, trademarks, or other design elements provided to the Company for publication on its website or in other designs are the property of the Customer or that the Customer has permission to use such elements from the rightful owner. The Customer indemnifies the Company and its subcontractors from all liability (including legal fees and court costs), including all threatened or actual claims or actions arising from the use of the elements provided by the Customer.
• The Company may request proof of ownership or proof of authorization.

Copyright

• The Client owns or has express permission to use the text files, images, graphics, visual elements, videos, and sounds you have submitted to us for use in the project.
• The Company retains copies of all files used in connection with your project. Should you require a copy of all files used in connection with your project, the Company will be happy to provide them. We retain copies of the website files for a reasonable period of time (usually at least one year). If you use our hosting, the files are stored both locally and on external servers.
• The Customer guarantees that all text, graphics, photographs, designs, trademarks, or other design elements provided to the Company for publication on its website or in other designs are the property of the Customer or that the Customer has permission to use such elements from the rightful owner. The Customer indemnifies the Company and its subcontractors from all liability (including legal fees and court costs), including all threatened or actual claims or actions arising from the use of the elements provided by the Customer.
• After the initial 12 months, copyright is automatically transferred as follows:
• After payment is received, the copyright notice and your company name will typically appear at the bottom of the web pages. However, as the responsible design and/or development company, the Company reserves the right to place a small, unobtrusive link at the bottom of your website so as not to detract from or distract from your website design.
• The copyright to any markup, CSS files, and other code we have used for you, as well as to certain images the Company has provided to you or for you, is owned by you in connection with this web design project and is licensed exclusively for the domain name on which the website files are located. If you own the domain name, you also own the copyright.
• After payment is received, the copyright notice and your company name will typically appear at the bottom of the web pages. However, as the company responsible for design and/or development, the company reserves the right to place a small, unobtrusive link at the bottom of your website that does not interfere with or distract from your website design.
• As a design company, the company also reserves the right to display and link to your completed project as part of our portfolio, as well as to feature it on other websites, in magazine or ezine articles, books, written or digital publications of any kind and from any source. Please inform us prior to website publication if you do NOT wish us to include your website in our portfolio.

Hosting

• To ensure the highest reliability and performance, all our clients' websites are hosted on a state-of-the-art, managed, and dedicated high-speed server, offering a guaranteed minimum uptime of 99.95%. The exact specifications of our servers are available free of charge to all our clients and will be provided upon request.

confidentiality

• The company complies with all national and EU regulations on data protection, data transfer, data retention, and confidentiality and always stores the data sent to us securely in accordance with our security policy.

Generally

• A website will only be activated after a standing order or BACS payment has been set up, unless specifically agreed in advance.
• Additional charges for additional features and/or design not included in our standard packages will be agreed and invoiced prior to website launch. A list of fees can be found here.
• If the customer does not respond to the company's request to discuss or select ongoing support options, they will automatically be assigned the support package deemed most appropriate by the company.
• A small administration fee will apply for switching the customer to an alternative hosting provider.
• The Company cannot guarantee that the functions of a website (or any part of its website design) will always be error-free. Therefore, the Company will not be liable to you in any way for any third-party damages, including lost profits, lost savings, or other incidental, consequential, or special damages arising out of the operation of, or inability to operate, this website and other websites, even if you have advised us of the possibility of such damages.
• If any provision of this Agreement is unlawful, invalid, or for any reason unenforceable, that provision shall be deemed severable from this Agreement and shall not affect the validity and enforceability of any remaining provisions. Just as with a fine, you may not assign this Agreement to any third party without our consent or permission.
• Although the Company has attempted to keep the language of this Agreement simple, its intentions are serious, and this Agreement is a legal document subject to the exclusive jurisdiction of laws and courts.

Changes to these General Terms and Conditions

• CRKB IT SOLUTIONS reserves the right to add, delete, or modify provisions of these Terms and Conditions at any time and without prior notice. Receipt of notification of changes will not invalidate such changes.
